1. About this agreement

1.1 This agreement is between you and CookingSocial, LLC (“Pantoh”, “we”). It applies when you use Pantoh Expert, in Pantoh Studio (studio.pantoh.app) or in the Pantoh app, to work with people who connect with you (“clients”).

1.2 Pantoh Expert lets you invite clients, see the dietary information they choose to share with you, add guidance to recipes, write Standing Notes and Expert Notes, share recipes and collections, and plan meals in a client's own meal plan when they allow it.

1.3 This agreement adds to the Pantoh Terms of Service and Privacy Policy. If they conflict on something about Pantoh Expert, this agreement applies, except that section 7.3 adds to section 11 (indemnification) of the Terms of Service and does not replace it. This agreement covers Pantoh Expert only; the Creator Program in section 7 of the Terms of Service has its own terms.

1.4 You accept this agreement on screen when you start as an Expert. We record the version you accepted and when. If we change it, we will tell you in Studio at least 14 days before the change applies, as the Terms of Service do for their changes, and you will be asked to accept the new version to keep using Pantoh Expert.

2. Your account and how you are described

2.1 You must be at least 18 and use your own Pantoh account. You are responsible for everything done through it. Keep your sign-in secure and tell us at support@pantoh.app if you think someone else has used it.

2.2 How you are described. Every Expert starts as a Nutritionist. Pantoh does not check Nutritionist credentials. You agree that what you say about your qualifications, on Pantoh and to your clients, is true and not misleading.

2.3 Registered Dietitian. You may ask us to show you as a “Registered Dietitian” or “Licensed · Registered Dietitian”. You give us your registration details (and a state license where your state licenses dietitians), and we check them against the official registries. We show the label only after we have checked it.

2.4 You must keep your registration and license current, and tell us within 7 days if either lapses, is suspended or is restricted. When a checked credential expires or we can't confirm it, we change your label back to Nutritionist. This does not end your access to Pantoh Expert.

2.5 Any copies of documents you upload for a check are deleted once we have made our decision. We keep the registration and license numbers, the issuing body and the expiry dates.

3. Trial, subscription, pause and ending

3.1 Trial. New Experts get a free trial of 30 days, once per account. During the trial you can connect with up to 5 clients, counting pending invites. We may change trial length and client limits for new trials; we won't shorten a trial already running.

3.2 Subscription. After the trial, Pantoh Expert will be a paid subscription. When paid plans start, the price, any taxes and the refund terms are shown in Studio before you subscribe, and you choose whether to subscribe. A subscription renews automatically until you cancel; you can cancel at any time in Studio, and it stays active until the end of the period you paid for.

3.3 Pause. If your trial or subscription ends and isn't renewed, we remind you before it ends, and your access continues for 14 days. After that your Expert access is paused:

  • you can't use Studio or Expert tools, or see your clients' information;
  • your clients keep the guidance and notes you gave them and are told your access is paused;
  • nothing is deleted, and your clients stay connected unless they end the connection.

When your access resumes, everything is as it was, with no new invites.

3.4 Ending. You or a client can end a connection at any time. You can stop being an Expert by contacting support@pantoh.app. We may suspend or end your Expert access if you break this agreement or put clients at risk; where reasonable we will tell you first and why.

3.5 When a connection ends, what you shared stays with the client and your private note stays with you, read-only. If a client deletes their Pantoh account, everything shared between you is deleted for both of you.

4. Working with clients

4.1 Clients choose. A client connects with you only by accepting your invite and agreeing, in the Pantoh app, to what they share with you. They can stop sharing or end the connection at any time. You must not pressure anyone to connect or to share more.

4.2 Your professional responsibility. The guidance, notes and meal plans you give are your professional advice. You are solely responsible for them, for following the laws and professional rules that apply to you (including any licensing rules in the places you and your clients are), and for working within your qualifications. Pantoh does not review, approve or check your advice.

4.3 Not medical care. Pantoh is not a medical service and is not for emergencies. You must not use Pantoh to diagnose or treat a medical condition unless you are qualified and permitted to do so, and you must tell a client to seek urgent care where that is needed.

4.4 Allergies. Pantoh marks allergens from a recipe's ingredients automatically, and this can be incomplete or wrong. Where a client has an allergy, you are responsible for checking the ingredients yourself before advising them.

4.5 Your own arrangements. You may charge your clients for your services. Any fees and your service terms with clients are between you and the client; Pantoh is not a party to them.

4.6 One-to-one. Notes and guidance written for one client must be about that client only. When you write for several or all clients at once, it must not include a name, a diagnosis or anything only one client should read.

5. Client information and privacy

5.1 Pantoh is not HIPAA compliant. Do not use Pantoh to store or send protected health information as defined by HIPAA, and do not rely on Pantoh for any obligation you have under HIPAA or similar laws. If you are a HIPAA covered entity or business associate, do not use Pantoh for your client work. Write only what you need in notes and guidance.

5.2 Use only for the client. You may use what a client shares with you (diets, allergies, avoided ingredients, notes, their meal plan) only to work with that client on Pantoh. You must not copy it out of Pantoh, sell it, use it for marketing, or share it with anyone else, unless the client asks you to or the law requires it.

5.3 Keep clients apart. Never show one client another client's information. Before you turn your screen to a client, start a session with them or turn on Focus, which show only that client. Pages such as Clients and “Who are you seeing?” show your private notes and other clients.

5.4 Your private note about a client is for you only and is never shown to them. Don't write anything in it you wouldn't want the client to see if they asked for their information.

5.5 Screenshots and feedback. When you send Pantoh screenshots or feedback, blur client names and details.

5.6 Problems. Tell us at support@pantoh.app within 72 hours if you think a client's information was seen by someone it shouldn't have been.

5.7 How Pantoh itself handles personal information is described in the Privacy Policy.

6. Your content and conduct

6.1 Your content. You keep ownership of the recipes, guidance and notes you create.

  • Public recipes and your public profile are covered by the content licence in section 4 of the Terms of Service, including a public recipe you made for a particular client, so Pantoh may promote them. Before we promote a public recipe, we remove all client information from it, including the client's name, Expert Notes, Expert guidance and the client's health goals. This applies only to public recipes; what you write for clients (below) is never promoted.
  • What you write for clients (guidance, Expert Notes, Standing Notes, notes and meal plans): you give Pantoh a non-exclusive, worldwide, royalty-free licence to host, store, show and process it only to run Pantoh, including showing it to the clients you wrote it for. We will not promote it or use it in marketing, and we sublicense it only to service providers who help us run Pantoh.

6.2 Others' content. Only import, customize or publish recipes and images you have the right to use. A customization of another creator's subscriber-only recipe can't be shared or made public.

6.3 Public profile and recipes. While you are an Expert your profile is public. What you make public, including a customized recipe's name and reason for customizing, is visible to everyone, so it must never identify a client.

6.4 Not allowed. You must not:

  • claim qualifications you don't have, or a Pantoh endorsement of your advice;
  • promote products or services to clients in a misleading way, or without saying you benefit from them;
  • contact clients outside Pantoh using information you got only through Pantoh, unless they agree;
  • harass, discriminate against or mislead anyone;
  • try to get around Pantoh's limits, security or privacy controls.

6.5 Report a safety concern about a client or another Expert to support@pantoh.app.

7. Pantoh's role and legal terms

7.1 Independent. You are an independent professional, not Pantoh's employee, agent or partner. Pantoh provides software; it does not provide nutrition, dietetic or medical services and does not supervise you.

7.2 The service. We work to keep Pantoh available and accurate, but, as section 9 of the Terms of Service says, Pantoh is provided “as is” and “as available”, without warranties of any kind. Features may change, and automatic information (such as allergens, diets and nutrition) can be incomplete or wrong.

7.3 Responsibility. You are responsible for claims that arise from your advice, your conduct, or your breach of this agreement, and you agree to indemnify, defend and hold harmless CookingSocial, LLC and its affiliates, officers, directors, employees and agents from those claims and the losses and expenses they cause. This is in addition to section 11 of the Terms of Service.

7.4 Limits. Section 10 of the Terms of Service, including its limit on Pantoh's total liability, applies to Pantoh Expert.

7.5 Law and disputes. As in section 13 of the Terms of Service, this agreement is governed by the laws of the State of New York, and disputes go to the courts located in New York State.

7.6 General. This agreement, with the Terms of Service and Privacy Policy, is the whole agreement between you and Pantoh about Pantoh Expert. If any part of it can't be enforced, the rest still applies. You may not transfer this agreement to anyone else; we may transfer it to a company that takes over Pantoh. We send notices to you by email or in Studio, and you send them to legal@cooking.social. Sections 3.5, 4.2, 5, 6 and 7 continue after you stop being an Expert.

7.7 Contact. General support: support@pantoh.app · Legal notices: legal@cooking.social · Company: CookingSocial, LLC.
